1. Service Description

Ask The Ladies is an AI-powered application designed to provide conversational dating and relationship advice through interactions with simulated AI characters. The Service is intended for informational, educational, and entertainment purposes only.

2. User Accounts

When you create an account with us, you must be at least 18 years of age and provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Subscriptions and Payments

Some features of the Service may be subject to fees. If you elect to use paid features of the Service, you agree to the pricing and payment terms as we may update them from time to time.

4. User Conduct and Responsibilities

When using the Service, you agree to:

Not use the Service to provide harmful advice or engage in activities that may cause emotional distress to others.
Not use the Service to impersonate others or create misleading content related to dating or relationships.

5. Intellectual Property Rights

The Service and its original content (excluding content provided by users, such as conversation inputs), features, and functionality are and will remain the exclusive property of Ask The Ladies Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress (including the name “Ask The Ladies“ and the logo) may not be used in connection with any product or service without the prior written consent of Ask The Ladies Inc.

User Content License

You retain all your ownership rights in your content (such as the information you provide during conversations). However, by submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any media or distribution methods now known or later developed, for the purposes of providing and improving our Service.

This license includes the right to use anonymized and/or aggregated data derived from your interactions to train and improve our AI models. We will always respect your privacy as detailed in our Privacy Policy.

6. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or follow any account deletion procedures provided within the Service or by contacting us.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

7. Disclaimers of Warranties

Your use of the Service is at your sole risk. The Service is provided on an “AS IS“ and “AS AVAILABLE“ basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Ask The Ladies Inc., its subsidiaries, affiliates, and licensors do not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service, including any relationship advice, will meet your requirements or be accurate, reliable, or suitable for your specific situation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Ask The Ladies Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content or advice obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not allowed, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Ask The Ladies Inc. and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney‘s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that content you submitted caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved through negotiation, both parties agree to try in good faith to settle the dispute by mediation administered by a mutually agreed-upon mediator before resorting to arbitration, litigation, or some other dispute resolution procedure.

If mediation is unsuccessful, any controversy or claim arising out of or relating to these Terms or the Service will be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will take place in New York, New York. The decision of the arbitrator will be final and binding.

Class Action Waiver: Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days‘ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
